Welcome to our Site located at www.pawslikeme.com(the “Site”), which is operated by PawsLikeMe Inc. (referred to as “PawsLikeMePawsLikeMe", “we,” “us” or “our”). The Site contains information, statements, tools, articles, features, functionality, software and services (collectively, the “Content”) we believe instrumental in providing a platform (i) to list and search for adoptable pets, (ii) to take compatibility tests to find the right pet, (iii) to complete adoption applications, (iv) to communicate with adoption organizations and individuals looking to rehome their pet to facilitate pet adoption by others, and (v) to make available and perform such other services as the Site may offer.

Users to the site may include:

  • “Organizations” – Organizations include animal shelters, animal rescue organizations and other corporations, partnerships, limited liability companies, and similar entities, but not Guardians, that wish to use this Site to make a pet available for adoption. Information collected from Organizations includes information collected from employees and agents of Organizations.
  • “Guardians” – Guardians are pet owners who have decided to make the pet available for adoption by a new owner but who will not directly charge the new owner any kind of adoption fee or other charge.
  • “Adopters” – Adopters are Users of this Site who wish to identify pets available for adoption and use this Site to search for and/or connect with suitable Organizations and/or Guardians.

References to “Users” includes Organizations, Guardians, Adopters and any other users visiting this Site. Only Users located in the United States of America and Canada are currently able to provide information (other than Email address) necessary to become Organizations, Guardians, or Adopters.

Your access to and use of this Site is governed by the following terms and conditions (these “Terms of Use” or this “Agreement”). Please read them carefully as they constitute a legally binding agreement applicable to all Users of this Site. If you do not agree with these Terms and Conditions, you should not use this Site.

This Site is not intended for use by any person in any jurisdiction or country where such use would be contrary to law or regulation, or that would subject us or our directors, officers, employees or agents to any registration or licensing requirement. Only Organizations, Guardians and Adopters located in the United States of America and Canada are eligible to use this Site for purposes of listing, or applying to adopt, any animal.

Please note that we may modify these Terms and Conditions from time to time and each modification will become effective once posted. Your continued use of this Site after the effective date of any such modification constitutes your acceptance of such modified agreement terms. We suggest that you review this Agreement on a regular basis to ensure that you understand your current rights and obligations under this Agreement. We also suggest that you print or save a copy of this Agreement for your records.

WHO WE ARE

We are an Internet-based service that (i) allows Adopters to search for animals that are available for adoption from Organizations and Guardians and match Adopter personalities with potential pets, (ii) allows Organizations to list available pets for adoption, and (iii) allows Guardians to list their pets for re-homing in order to find Adopters. Our goal is to create a venue that effectively serves the needs of Adopters, Organizations and Guardians. We derive our revenue primarily from processing fees related to pet adoptions.

We are NOT, and will NOT be, a party to any transaction between any Organization and any Adopter or a Guardian and any Adopter, even though we provide tools that may enable such transactions to occur. As a result, we do not warrant or guarantee any part of any actual or potential transaction between any Users of this Site, including the health of any animal, the fitness of any pet for a particular home or family circumstance, the legality of any adoption or the truth or accuracy of any information provided by any User.

Our proprietary pet matching algorithm (the “PMA”)is intended to provide general guidelines regarding likely pet and Adopter compatibility and is in no way a guarantee that any particular pet will be compatible with any Adopter.

We are not liable for interactions by and between Users or third parties with whom Users may become aware as a result of their use of this Site. We specifically disclaim all liability relating to any use of this Site or any transactions entered by Users of this Site, including, but not limited to, delivery of goods and services, and any other terms, conditions, warranties or representations associated with pet listings.

If any dispute arises between or among Users, each User hereby releases PawsLikeMe, its officers, employees, owners, agents and successors in rights from claims, damages and demands of every kind, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and our service.

Organizations and Guardians are wholly responsible for fulfilling obligations both implied and stated in any pet listing they create. We reserve the right to cancel a pet listing at any time for any reason and to report suspicious listings to appropriate law enforcement agencies.

Users should note that PawsLikeMe is not responsible for the accuracy of pet listings. Pet listings are either scraped from the websites of the Organizations with which we have relationships, third party websites that make their pet listings available via API, or otherwise provided by Guardians. PawsLikeMe makes reasonable effort to correct any listings that we learn to be inaccurate or outdated, but responsibility for the listings rests with the User providing the information.

PRIVACY

Your use of this Site is also governed by our Privacy Policy, which is incorporated in these Terms and Conditions by reference

SERVICES MADE AVAILABLE BY PAWSLIKEME

Referral Based Re-homing Services

Our referral based re-homing services may offer Organizations the opportunity to collect up to 50% of all re-homing adoption fees, when the referral is registered with the Organization’s referral ID. We merely provide the platform for Guardians willing to rehome their pets online and donate a portion of the fees that we collect to the referring Organization. When an Adopter purchases a re-homed pet, payments will be processed through Stripe and/or PayPal, our third party payment service providers. Adopters will be provided a notice when entering their payment information directing them to the third party payment service provider’s terms of service and privacy policy. These payment services are governed solely by the third party provider’s terms of service and privacy policy. We are not responsible for the actions of these third party service providers.

In addition to the other rules and requirements described in this Agreement, Organizations must follow the rules listed below when participating in the referral based re-homing service.

  1. Organizations must have an active PawsLikeMe account.
  2. Organizations must select a method for monthly donation disbursement by either enrolling in our direct deposit service, or receiving a paper check at a physical address.
  3. Organizations must agree to provide PawsLikeMe permission to post all of the Organization’s adoptable pets and related pet information on this Site.

From time to time, we may offer additional services (“Enhancements”). Some Enhancements may allow certain pet listings to be modified using special fonts, characters and functionality. Other Enhancements may improve the placement of particular pet listings on this Site for a specific period of time by, for example, placing an advertisement at the top of an Adopter’s search results or within prominent “featured” areas within this Site. Other Enhancements may be made available from time to time, and we reserve the right to make any Enhancements we deem necessary or advisable and to immediately cease offering any particular Enhancement at our discretion. Any party considering whether to purchase an Enhancement must make sure they fully understand the conditions, cost and, as applicable, the duration of the Enhancement prior to purchasing.

Organizations

Organizations may, in our discretion, list pets in their care for adoption by Adopters. By listing a pet, Organizations agree:

  1. PawsLikeMe is a facilitator of the adoption process by providing necessary tools to make the adoption process easier and help it to run more smoothly. PawsLikeMe has no decision-making authority with respect to the adoption process. Each Organization is solely responsible for arranging meetings, communication with, and approving or rejecting Adopters.
  2. All information provided by the Organization is truthful and up to date to the best knowledge of its board of directors and officers. The Organization is solely responsible for accuracy of all information provided and the Organization will indemnify, defend and hold harmless PawsLikeMe, its officers, directors, employees, and agents (collectively, the “PLM Indemnified Parties”), from and against all claims arising out of the inaccuracy or alleged inaccuracy of any information provided by the Organization.
  3. The Organization shall indemnify, defend and hold harmless the PLM Indemnified Parties from and against all claims and expenses, including, without limitation, all judgements, settlements, attorneys' fees, and costs, arising out of the use of the on-line service by the Organization or any User access to this Site under Organization’s account.
  4. PawsLikeMe is retained solely as an adoption facilitator and not as an attorney, veterinarian, animal behaviorist, or other professional service advisor. The Organization acknowledges that PawsLikeMe and their agents owe no duty to independently verify the accuracy or completeness of any statement made by any source using PawsLikeMe services.
  5. The Organization will not list any exotic animal for adoption to the extent that it is not lawful in the Organization’s jurisdiction to own such an animal. PawsLikeMe reserves the right to report any listing that may violate applicable law to appropriate law enforcement authorities.
  6. Any animal that the Organization lists on this Site is current on its rabies vaccines in accordance with applicable law and Guardian will deliver a current copy of the animal’s rabies’ certificate to the Adopter at the time of adoption or prior to adoption upon request.
  7. Each animal the Organization lists on this Site must be spayed or neutered (rendered sterile, incapable of producing offspring) prior to adoption and is free of any known illnesses other than any conditions that the Organization has disclosed via this Site. The Organization agrees to present Adopters of proof of these claims and turn over documentation to the adopter at the time of adoption.
  8. In the event of a dispute between the Organization and any Adopter, the Organization releases the PLM Indemnified Parties from all claims, damages and demands of every kind, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and our service.

Guardians (Guardian)

Guardians may, in our discretion, list their pets for adoption by Adopters. By listing their pet, Guardians agree:

  1. Guardian agrees that he/she is at least 18 years of age or legal age in the User’s state of residence.
  2. PawsLikeMe is a facilitator of the adoption process by providing necessary tools to make the adoption process easier and help it to run more smoothly. PawsLikeMe has no decision-making authority with respect to the adoption process. The Guardian is solely responsible for arranging meetings, communication with, and approving or rejecting Adopters.
  3. All information provided by Guardian is truthful and up to date to the best of his/her knowledge. The Guardian is solely responsible for accuracy of all information provided and Guardian will indemnify, defend and hold harmless the PLM Indemnified Parties from and against all claims arising out of the inaccuracy or alleged inaccuracy of any information provided by Guardian.
  4. Guardian shall indemnify, defend and hold harmless the PLM Indemnified Parties from and against all claims and expenses, including, without limitation, all judgements, settlements, attorneys' fees, and costs, arising out of the use of the on-line service by Guardian or any User access to this Site under Guardian’s account.
  5. PawsLikeMe is retained solely as an adoption facilitator and not as an attorney, veterinarian, animal behaviorist, or other professional service advisor. Guardian acknowledges that PawsLikeMe and their agents owe no duty to independently verify the accuracy or completeness of any statement made by any source using PawsLikeMe services.
  6. Guardian acknowledges that the adoption fee is to be collected by PawsLikeMe at the time of adoption completion and the Guardian will not receive any portion of the adoption fees. Guardian acknowledges that the collection of an adoption fee helps to ensure, but does not guarantee that the Adopter's intentions for the pet are in the pet's best interest. Providing sufficient funds after available after payment of PawsLikeMe’s expenses, PawsLikeMe will donate up to 50% of the adoption fee to the referral organization or to an organization at PawsLikeMe's discretion.
  7. Subject to the limitations set forth hereafter in this paragraph, Guardian will complete the adoption process solely through PawsLikeMe with respect to any animal that Guardian lists on this Site. Guardian agrees to direct any party interested in adopting Guardian’s animal to create an account and proceed with the formal adoption process through PawsLikeMe. Guardian will not enter into another arrangement for adoption of this dog for a period of ninety (90) days following each applicable listing on this Site. Guardian agrees not to receive any payment, in the form of cash, services, or property, for the adoption of any animal listed on this Site.
  8. Guardian will not list any exotic animal for adoption to the extent that it is not lawful in Guardian’s jurisdiction to own such an animal. PawsLikeMe reserves the right to report any listing that may violate applicable law to appropriate law enforcement authorities.
  9. Any animal that Guardian lists on this Site has not been found to be "dangerous" or "vicious" by any court of law or government agency. Guardian also agrees that each animal it lists on this Site does not pose an imminent threat of serious aggression towards people or other animals nor has the animal shown any behaviors that could be defined as "dangerous" or "vicious." Specifically, no dog listed by Guardian has been determined to be a “Bad Dog” or like determination under applicable law. If such behavior or record is known, it must be disclosed to PawsLikeMe and to potential adoptive homes. Adoptive homes may adopt such pets at their own risk. It is recommended that Guardian provide a full disclosure and that Adopter sign a liability waiver.
  10. Any animal that Guardian lists on this Site is current on its rabies vaccines in accordance with applicable law and Guardian will deliver a current copy of the animal’s rabies’ certificate to the Adopter at the time of adoption or prior to adoption upon request.
  11. Each animal Guardian lists on this Site must be spayed or neutered (rendered sterile, incapable of producing offspring) prior to adoption and is free of any known illnesses other than any conditions that Guardian has disclosed via this Site. Guardian agrees to present to PawsLikeMe and Adopters of proof of these claims and turn over documentation to the Adopter at the time of adoption.
  12. Guardian will not personally require payment from any Adopter and Guardians account may be suspended or his or her right to use this Site revoked, in PawsLikeMe’s discretion, if Guardian breaches this covenant.
  13. In the event of a dispute between Guardian and any Adopter, Guardian releases the PLM Indemnified Parties from all claims, damages and demands of every kind, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and our service.
  14. Guardian is solely responsible for complying with applicable law in connection with the delivery of an animal to an Adopter.

Adopters

Adopters may apply to adopt pets via this Site and in the discretion of each applicable Organization and/or Adopter. By using this Site, each Adopter agrees:

  1. Adopter agrees that he/she is at least 18 years of age or legal age in the User’s state of residence.
  2. PawsLikeMe is a facilitator of the adoption process by providing necessary tools to make the adoption process easier and help it to run more smoothly. PawsLikeMe has no decision-making authority with respect to the adoption process. The Adopter is not guaranteed that any application for adoption will be accepted by any Organization or Guardian.
  3. All information provided by Adopter is truthful and up to date to the best of his/her knowledge. The Adopter is solely responsible for accuracy of all information provided and Adopter will indemnify, defend and hold harmless the PLM Indemnified Parties from and against all claims arising out of the inaccuracy or alleged inaccuracy of any information provided by Adopter.
  4. Adopter shall indemnify, defend and hold harmless the PLM Indemnified Parties from and against all claims and expenses, including, without limitation, all judgements, settlements, attorneys' fees, and costs, arising out of the use of the on-line service by Adopter or any User access to this Site under Adopter’s account.
  5. PawsLikeMe is retained solely as an adoption facilitator and not as an attorney, veterinarian, animal behaviorist, or other professional service advisor. Adopter acknowledges that PawsLikeMe and their agents owe no duty to independently verify the accuracy or completeness of any statement made by any source using PawsLikeMe services.
  6. Adopter acknowledges that the adoption fee is to be collected by PawsLikeMe at the time of adoption completion. Adopter acknowledges that the collection of an adoption fee helps to ensure, but does not guarantee that the Adopter's intentions for the pet are in the pet's best interest. Providing sufficient funds remain available after payment of PawsLikeMe’s expenses, PawsLikeMe will donate up to 50% of the adoption fee to the referral organization or to an organization at PawsLikeMe's discretion.
  7. Adopter will not apply to adopt any exotic animal to the extent that it is not lawful in Adopter’s jurisdiction to own such an animal. PawsLikeMe reserves the right to report any application that may violate applicable law to appropriate law enforcement authorities.
  8. Adopter adopts any pets at Adopter’s own risk.
  9. Adopter will not personally make any payment to any Guardian.
  10. In the event of a dispute between Adopter and any Guardian or Organization, Adopter releases the PLM Indemnified Parties from all claims, damages and demands of every kind, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and our service.
  11. Adopter is solely responsible for complying with applicable law in connection with the receipt of an animal by Adopter.

USAGE OF THE SITE

Each User agrees that he or she will not engage in any activity that interferes with or disrupts the access to or functionality of this Site. In addition, each User agrees:

  1. He or she will treat our employees respectfully. PawsLikeMe will not tolerate, under any circumstances, any behavior that is abusive or offensive to any employee or representative of PawsLikeMe.
  2. He or she will not access (or attempt to access) any of the Content by any means other than through this Site interface.
  3. He or she will not reproduce, duplicate, copy, sell, trade or resell the Content for any purpose.
  4. He or she is solely responsible for (and that PawsLikeMe has no responsibility to User or to any third party for) any breach of User’s obligations under this Agreement and for the consequences (including any loss or damage which PawsLikeMe may suffer) of any such breach.
  5. That PawsLikeMe may stop (permanently or temporarily) providing the Content (or any features within the Content) to any User at PawsLikeMe’s sole discretion, without prior notice to you.
  6. That if PawsLikeMe disables access to a User’s account, the User may be prevented from accessing the Content, his or her account details or any files or other content which is contained in his or her account.
  7. PawsLikeMe has the right, but not the obligation, to monitor the Content at all times, including any chat rooms and forums that may hereinafter become available, to determine your compliance with this Agreement.
  8. He or she will use this Site and Content at his or her own risk. PawsLikeMe assume no liability or obligation to take any particular measure to assist Users in avoiding potentially fraudulent or other illegal activity. In the event we do provide warnings or messages to Users about any such activity, we do not warrant that such messages are accurate or that such messages will reach any or all Users they should have reached in a timely manner or at all or that such messages or measures will prevent any harm, result or action.

USERS ARE SOLELY RESPONSIBLE FOR THEIR INTERACTIONS WITH OTHER USERS. USERS UNDERSTAND THAT PAWSLIKEME CURRENTLY DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS OR SCREENINGS OF USERS. PAWSLIKEME ALSO DOES NOT RESEARCH THE BACKGROUNDS OF USERS OR ATTEMPT TO VERIFY THE STATEMENTS OF ITS USERS. PAWSLIKEME MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF USERS OR THE COMPATIBILITY OF ANY PET WITH ANY CURRENT OR FUTURE USER OR ANY PETS FITNESS OR TEMPERMENT.

PawsLikeMe is not responsible for the conduct of any User. In no event shall any of the PLM Indemnified Parties be liable (directly or indirectly) for any losses or damages whatsoever, whether indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of any User or any third party in connection with the use of this Site including, without limitation, liability for death, bodily injury, emotional distress, and/or any other damages resulting from communications or meetings between Users, pets or third parties Users meet through this Site. Users agree to take all necessary precautions in all interactions with other Users, particularly if a User decides to communicate off this Site or meet in person. Each User understands that PawsLikeMe makes no guarantees, either express or implied, regarding a User’s ultimate compatibility with individuals or pets met through this Site. Users are cautioned not to provide financial information (for example, credit card or bank account information), or wire or otherwise send money, to other Users.

INTELLECTUAL PROPERTY

This Site, other than content posted to this Site by any User, is owned by PawsLikeMe or its licensors, and is protected under applicable intellectual property laws of the United States and other countries as well as by international treaties and conventions.

Copyright

All Content on this Site, other than content posted to this Site by any User, is the property of the PawsLikeMe or its licensors and protected by United States and international copyright laws. All software used on this site is the property of the PawsLikeMe or its software suppliers and protected by United States and international copyright laws.

Trademarks

This Site and the PawsLikeMe’s graphics, logos, page headers, button icons, scripts, and service names are trademarks or trade dress of the PawsLikeMe, and these trademarks and trade dress may not be used in connection with any product or service that is not owned or operated by PawsLikeMe or in any manner that is likely to cause confusion among customers or in any manner that disparages or discredits PawsLikeMe. All other trademarks not owned by PawsLikeMe that appear on this Site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by PawsLikeMe.

USER CONTENT

You solely are responsible for any information you provide to PawsLikeMe or other Users in the registration and adoption process. Your information must be true, legal, accurate, and non-fraudulent. You agree that you will not provide contact information to other Users of this Site for the purpose of bypassing PawsLikeMe transaction fees and service costs.

You warrant that any information you provide will be free of viruses, malware, and spam. You further warrant that you will not release, create, or cause to be created any automatic bots that may interfere with this Site.

You further warrant that any pet listings provided by you will not violate any federal, state or local law, statute, ordinance or regulation, or that will not violate the Prohibited Items List provided via United States Postal Services Publication 52 or any successor publication.

PawsLikeMe maintains the right to remove or restrict communication or information that you may post to this Site that violates these Terms and Conditions.

You further warrant that any communication or content/ information that you provide via the Site:

  • Will not violate any international, federal, state law, or statute.
  • Will not violate these Terms of Use
  • Will not infringe upon any third party's intellectual property rights, including, but not limited to, copyright, patent, or trademark rights.
  • Will not contain any obscene, lewd, malicious, suggestive or pornographic content and shall not contain any content relating to hatred, sexual harassment, or sexual abuse of any particular individual, type of individual, or societal group.
  • Will not be libelous, harassing, or defamatory in nature. This includes making legal claims about PLM Indemnified Parties.
  • Will not contain any computer hardware or malicious software of any kind, to include, but not necessarily be limited to, viruses, Trojan horses, worms, or any other sort of computer programming that may interfere with the operation of this Site, or operation with any server connected via this Site.
  • Will not scan or test the vulnerability or security of this Site
  • Will not be used for commercial gain or purpose without PawsLikeMe's express written permission or express permission granted through these Terms of Use.
  • Will not create any liability for PLM Indemnified Parties.

PawsLikeMe reserves the right to keep records of all transactions and communications, including, but not limited to, any recordings of telephone calls, emails or other digital or written communications regarding Site activity, for administrative purposes.

By submitting content via this Site, you hereby grant PawsLikeMe a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable and transferable license to use, edit, modify, reproduce, distribute, prepare derivative works of, display, perform, and otherwise fully exploit such content in connection with this Site and PawsLikeMe’ s (and its successors and assigns’) business, including without limitation for promoting and redistributing part or all of this Site in any media formats and through any media channels (including, without limitation, third party sites).

COPYRIGHT COMPLIANCE POLICY

To ensure compliance with the Digital Millennium Copyright Act ("DMCA"), PawsLikeMe will take action on receipt of notice of alleged copyright infringement. If you are a copyright owner or representative of the owner and believe that a User has submitted or uploaded material that infringes upon your United States copyrights, you may submit notification in accordance to the DMCA by providing PawsLikeMe with the following information in writing:

  • identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works;
  • identification of the claimed infringing material and information reasonably sufficient to permit us to locate the material on this Site (such as the URL(s) of the claimed infringing material);
  • information reasonably sufficient to permit us to contact You, such as an address, telephone number, and, if available, an email address;
  • a statement by You that You have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • a statement by You, made under the penalty of perjury, that the above information in your notification is accurate and that You are the owner of an exclusive right that is allegedly infringed or are authorized to act on the owner's behalf; and
  • your physical or electronic signature.

ELECTRONIC COMMUNICATIONS

When you visit this Site or send emails to us, you are communicating with us electronically. By doing so, you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

THE TERMINATION OF LISTINGS

YOU UNDERSTAND, ACKNOWLEDGE, AND AGREE THAT WE SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY TERMINATION OR SUSPENSION OF YOUR PET LISTING, ACCOUNT OR YOUR ABILITY TO ACCESS THE INFORMATION AVAILABLE THROUGH THIS SITE.

DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY

THIS SITE AND ALL CONTENT INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THIS SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. THE PLM INDEMNIFIED PARTIES WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THIS SITE OR FROM ANY CONTENT INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THIS SITE, INCLUDING, BUT NOT LIMITED TO INDIRECT, INCIDENTAL, PUNITIVE, AND/OR CONSEQUENTIAL DAMAGES.

THE LIABILITY OF EACH PLM INDEMNIFIED PARTY, INDIVIDUALLY AND COLLECTIVELY, UNDER THIS AGREEMENT, FOR ANY AND ALL CLAIMS RELATING TO THE USE OF THIS SITE SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US$100.00).

IF ANY JURISDICTION PROHIBITS THE FOREGOING DISCLAIMERS, LIMITATIONS, AND EXCLUSIONS, IN SUCH JURISDICTIONS, THE FOREGOING DISCLAIMERS, LIMITATIONS, AND EXCLUSIONS SHALL BE LIMITED TO THE EXTENT PERMITTED BY THE JURISDICTION.

You agree to defend, indemnify, and hold harmless PawsLikeMe, its affiliates, directors, officers, employees, and agents from and against all claims, damages, and expenses, including, without limitation, all judgements, settlements, reasonable attorneys' fees, and costs, arising out of or related to any products or services you purchase in connection with this Site, your use of this Site, or your violation of any third-party right. You are solely responsible for interactions with any other Users of this Site. To the extent permitted by applicable law, you hereby release the PLM Indemnified Parties from any and all claims or liability related to any product or service available through this Site or any conduct, action, or inaction by PawsLikeMe.

Forum Selection and Choice of Law

These Terms and Conditions are governed by the laws of the State of Florida without regard to its conflict of law provisions. Any dispute or legal proceeding relating to or arising from this Agreement or your use of our services and/or this Site will be adjudicated solely by a court of competent jurisdiction sitting in Orange County, Florida, and you and we expressly consent to the exclusive personal jurisdiction of such courts. PawsLikeMe and Users waive any right to a jury trial in connection with any litigation in connection with this Site or this Agreement or otherwise involving PawsLikeMe.
